Agreement:

• Services. Influencer agrees to promote Brand’s products or services on their social media platforms within 14 days after receiving the products or services.

• Compensation. In exchange for content creation, the Creator will receive one free product of their choice from the Matka Botanicals collection. The product will be provided upon the Creator's request and is subject to availability. No additional monetary compensation will be provided for the content created unless otherwise agreed upon in writing.

• Term. This Agreement shall commence on the day of us receiving the application and continue for a period of 14 days, unless earlier terminated as provided herein.

• Termination. Either party may terminate this Agreement at any time upon [5] days’ written notice to the other party. Upon termination, Influencer shall immediately cease all promotional activities on behalf of Brand.

• Representations and Warranties.

  • Influencer represents and warrants that (i) they have the full right and authority to enter into this Agreement and perform the services hereunder; (ii) they will comply with all applicable laws and regulations in performing the services hereunder; and (iii) the content produced by Influencer in connection with this Agreement will not infringe upon any third party’s intellectual property rights.

  • Brand represents and warrants that (i) it has the full right and authority to enter into this Agreement and engage Influencer to perform the services hereunder; and (ii) the content provided by Brand to Influencer will not infringe upon any third party’s intellectual property rights.

• Indemnification. Each party agrees to indemnify, defend, and hold harmless the other party, its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with the breach of any of their respective representations, warranties, or obligations under this Agreement.

• Confidentiality. Influencer acknowledges that in the course of performing the services hereunder, they may have access to confidential and proprietary information of Brand. Influencer agrees to maintain the confidentiality of all Confidential Information and not to disclose or use such information for any purpose other than performing the services hereunder.

• Assignment. This Agreement shall not be assigned by either party without the prior written consent of the other party.

• Governing Law. This Agreement shall be governed by and construed in accordance with the laws of [Canada], without giving effect to its conflict of laws principles.

• Entire Agreement. This Agreement, together with its exhibits and attachments, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
